The short version: use the app for planning and buying food, not for anything illegal or abusive. Prices and plans are estimates until you check out. We are not your doctor. If we get something wrong, our liability is limited. Nigerian law applies.
1. This agreement
These Terms of Use ("Terms") are a binding agreement between you and Aventea Labs Limited (RC 8828943), a company incorporated in Nigeria ("we", "us", "our"), covering your use of the NaijaBudgetEats mobile app, our website and any related services (the "Service").
By creating an account, placing an order, or otherwise using the Service, you accept these Terms, our Privacy Policy and our Use Policy, which are part of this agreement. If you do not accept them, do not use the Service.
2. Who can use it
You must be at least 18 years old and able to enter a binding contract. If you use the Service for an organisation, you confirm you are authorised to bind it, and "you" means that organisation. You must not use the Service if we have previously terminated your account, or if the law of your country prohibits it.
3. Your account
- Give us accurate information and keep it up to date — deliveries fail on stale addresses.
- Keep your password confidential. You are responsible for everything done through your account.
- One account per person. Do not share, sell, rent or transfer your account.
- Tell us at security@naijabudgeteats.com as soon as you suspect unauthorised access.
4. What the Service is — and isn't
NaijaBudgetEats is a meal-planning, food-budgeting and food-ordering tool. Read the following carefully, because it defines the limits of what we are promising.
Not medical or nutritional advice
Meal plans, calorie and macro targets, recipes and any diet-related content are general information, not medical, nutritional or dietetic advice, and are not a substitute for consulting a qualified professional. We do not diagnose, treat, cure or prevent any condition. Consult a doctor or registered dietitian before starting any new way of eating, and especially if you are pregnant or breastfeeding, are under medical supervision, take prescription medication, or have diabetes, kidney disease, heart disease, an eating disorder or any other health condition. If you feel unwell, stop and seek medical attention.
Not financial advice
Budgets, spending summaries and alerts are informational tools based on what you enter. They are not financial advice and we do not guarantee any saving.
Estimates, not guarantees
Prices, portion sizes, preparation times, calorie counts and macro values shown in plans and recipes are estimates, drawn from market data, supplier information and standard food composition tables. Real markets move, portions vary and cooking changes things. The price that binds is the one shown at checkout when you place an order.
Allergens
Ingredient and allergen information is provided in good faith from the information available to us. We cannot guarantee that any meal, ingredient or supplier is free of a given allergen or of cross-contamination. If you have a food allergy or intolerance, verify independently before eating.
Availability
We aim to keep the Service running but do not promise it will be uninterrupted or error-free. We may change, suspend or discontinue any part of it, and ordering may be unavailable in some areas or at some times.
5. Free and Premium
- The Free tier is supported by advertising. The Premium tier costs ₦3,000 per month unless a different price is shown to you at the time you subscribe.
- Subscriptions renew automatically at the end of each period, and we charge your payment method, until you cancel.
- Cancel at any time through your app store subscription settings or by writing to us. Cancellation takes effect at the end of the current paid period; you keep Premium until then. We do not give partial refunds for an unused part of a period except where the law requires it or where we have failed to deliver the Service.
- If we change the price, we will give you at least 30 days' notice. The new price applies from your next renewal, and you may cancel before it takes effect.
- Where you subscribe through the Apple App Store or Google Play, their billing, cancellation and refund rules govern the payment, and you may need to deal with them directly.
- We may offer free trials or promotional pricing. Unless we say otherwise, a trial converts to a paid subscription at the end of the trial unless you cancel first, and promotional pricing applies only for the stated period.
6. Ordering food and groceries
- An order you place is an offer to buy. A contract of sale forms when we confirm the order, or when it is dispatched, whichever is earlier. We may decline an order — for example where an item is unavailable, the address is outside our delivery area, we suspect fraud, or a price was listed in obvious error.
- Substitutions. Fresh produce and market goods vary. Where an item is unavailable we may offer a substitute of similar type and value. You may choose in the app to allow or refuse substitutions. Where you refuse, we refund the missing item.
- Weights and quantities for fresh items are approximate. Where an item is priced by weight, we charge the actual weight supplied within a reasonable tolerance.
- Delivery windows are estimates. Traffic, weather and market conditions in Nigeria being what they are, we cannot guarantee a delivery time.
- Someone aged 18 or over must be available to receive the order at the address given. If nobody is available and we cannot reach you, we may leave the order in a safe place at your instruction, or return it, and a redelivery fee may apply.
- Risk and title in the goods pass to you on delivery.
- Check on arrival. Because food is perishable, inspect your order at the point of delivery and raise any problem with the rider or with us immediately, and in any event within the timeframe set out in section 8.
- Storage and preparation. Once delivered, safe storage, handling and cooking are your responsibility. Follow storage instructions and use-by dates.
7. Prices, payment and tax
- All prices are in Nigerian Naira (₦) and, unless stated otherwise, include applicable Value Added Tax. Delivery and service fees are shown separately before you confirm.
- You authorise us and our payment processor to charge your chosen payment method for the total shown, including any adjustment for weight-priced items.
- If a payment fails or is reversed, we may suspend the Service or the order until it is settled, and recover reasonable costs of collection.
- If a price is displayed in obvious error, we are not obliged to supply at that price. We will tell you and let you confirm at the correct price or cancel for a full refund.
8. Cancellations, returns and refunds
- You may cancel an order at no cost before it is picked or dispatched. After that, perishable items cannot generally be cancelled.
- Where goods are missing, damaged, spoiled, expired or not what you ordered, tell us within 24 hours of delivery (or immediately at the door for obvious damage), with photographs where possible. We will replace the item or refund it, at your choice.
- For reasons of hygiene and food safety, we cannot accept returns of fresh, chilled, frozen or prepared food that has left our control and is not defective.
- Approved refunds go back to your original payment method, normally within 7 to 14 business days, depending on your bank.
- Nothing here removes rights you have under the Federal Competition and Consumer Protection Act 2018 or other Nigerian consumer protection law.
9. Things you post
You may be able to submit recipes, photos, reviews, ratings and notes ("Your Content"). You keep ownership of Your Content. By submitting it you grant us a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt, publish and display it for the purpose of operating, improving and promoting the Service. This licence ends when you delete Your Content, except for copies already shared with others, held in backups, or kept where we must by law.
You confirm that Your Content is yours to share, that it is accurate as far as you know, and that it does not break anyone else's rights or our Use Policy. We may remove content that breaches these Terms, but we are not obliged to monitor or review what users post.
10. Our intellectual property
The Service — including the app, website, software, meal-planning engine, recipe database, design, text, graphics and the names NaijaBudgetEats and Aventea Labs and associated logos — belongs to us or our licensors and is protected by copyright, trade mark and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes, on the terms of this agreement. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile or create derivative works from any part of it, or extract our recipe or price data by scraping or automated means, except to the extent the law says you may despite this restriction.
11. Acceptable use
Your use of the Service is also governed by our Use Policy, which sets out what is and is not allowed. Breaching it is a breach of these Terms.
12. Third-party services
The Service depends on third parties — app stores, payment processors, mapping, hosting, vendors and delivery partners. We are not responsible for their acts or omissions beyond our own negligence in selecting and supervising them, and your use of their services may be subject to their own terms.
13. Suspension and termination
You may stop using the Service and delete your account at any time from the app or by writing to us.
We may suspend or terminate your access, with notice where practicable, if you breach these Terms or the Use Policy, if we are required to by law, if your account is being used fraudulently, or if we discontinue the Service. Where we discontinue the Service entirely, we will give reasonable notice and refund any prepaid amount covering a period after the shutdown.
On termination, your licence to use the Service ends. Sections 9, 10, 14, 15, 16, 18 and 19 survive.
14. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements, that plans will produce any particular health, weight or financial outcome, or that content will be accurate, complete or current.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, for fraud, or under Nigerian consumer protection law.
15. Limitation of liability
To the fullest extent permitted by law, and subject to section 14:
- We are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data, goodwill or anticipated savings, however caused.
- Our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the total amount you paid us in that period, and (b) ₦50,000.
These limits apply whether the claim is in contract, tort, statute or otherwise, and even if we were told the loss was possible.
16. Indemnity
You agree to indemnify us and our officers, employees and agents against claims, losses, liabilities and reasonable costs arising from your breach of these Terms or the Use Policy, your misuse of the Service, Your Content, or your breach of any law or third-party right.
17. Changes
We may change these Terms. Where a change materially affects your rights we will give you at least 14 days' notice in the app or by email. If you do not agree, stop using the Service and close your account before the change takes effect; continuing to use it after that means you accept the new Terms. Changes required by law may take effect immediately.
18. Disputes and governing law
Talk to us first. Most problems are settled fastest by writing to support@naijabudgeteats.com. Please give us 30 days to resolve a dispute informally before taking formal steps.
These Terms and any dispute arising out of them are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law rules.
If a dispute is not resolved informally, it shall be referred to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023, before a single arbitrator, conducted in English. The award is final and binding. Either party may still apply to a Nigerian court for urgent interim relief, and small claims may be brought in any court of competent jurisdiction in Lagos State. Nothing in this clause removes any right you have to complain to a regulator.
19. General
- Entire agreement. These Terms, the Privacy Policy and the Use Policy are the whole agreement between us about the Service.
- Severability. If a provision is held unenforceable, the rest continues in force.
- No waiver. If we do not enforce a right, we have not given it up.
- Assignment. You may not assign this agreement. We may assign it to an affiliate or to a buyer of the business, on notice to you.
- Notices. We may give notice through the app, by email to your registered address, or on our website. Notices to us go to the address in section 20.
- Force majeure. Neither party is liable for failure caused by events beyond reasonable control, including power or network failure, fuel scarcity, industrial action, civil unrest, flooding or government action.
- Language. These Terms are written in English, which governs.
